1. Description of Services

RetailBuyers is a wholesale shopping experience for Retailers to purchase suppliers overstock and clearance merchandise. There is no charge for Retailers to join Retailbuyers.com. Orders of merchandise on this site are placed with Retailbuyers.com.

2. Transfer of Account

Access to the site is through a combination of a username and a password. Account holders may not under any circumstances release their account info to any other person, and are required to keep their account information strictly confidential. RetailBuyers will not release passwords for any reason, to anyone other than the account holder, except as may be specifically required by law or court order. Unauthorized access to the site is a breach of this Agreement and a violation of law. Subscribers acknowledge that the owner of the site may track through the use of special software each subscriber's entry to the site. If any breach of security, theft or loss of account information, or unauthorized disclosure of account information occurs, subscriber must immediately notify RetailBuyers or the site of said security breach. Account holder will remain liable for unauthorized use of service until RetailBuyers or the site is notified of the security breach by e-mail or telephone.

3. Notice

Notices by the site may be given by electronic messages, conventional mail, telephone, or fax unless otherwise specified in the Agreement. All questions, complaints, or notices regarding the site must be directed to RetailBuyers. All cancellations of service must also be directed to RetailBuyers.

Before your transaction can be completed, you must read and agree to these Terms and Conditions and Commission Agreement. By applying for access and or services from this website, you are agreeing to these terms and conditions, and are agreeing to be legally bound by them. This agreement is subject to change by RetailBuyers at any time.

1. Legal Definitions

"Supplier" or "Account," as referred to in this document shall mean: The subscriber or user of a valid username and password for the site during the term of membership. "Site," as referred to in this document shall mean: RetailBuyers for which you are requesting a username and password from RetailBuyers in order to access the site and its services.

2. Description of Services

RetailBuyers is a wholesale shopping experience for Retailers to purchase suppliers overstock and clearance merchandise.

4. Payment / Fee

A Supplier front page will be provided, which will include your Company Portfolio, Logo, Type of Merchandise, Minimum Order, Shipping and Terms and Conditions. An unlimited amount of pictures and information for overstock, discontinued and clearance merchandise may be uploaded. *(see rate schedule below)

A one year minimum sign up is required.

Thirty days notice is required to be removed from the site.

SUPPLIER RATE SCHEDULE

Yearly Hosting Fee:	$99.95 including taxes
Front Page Advertising Rates:	Call 1-866-861-4505

Rates quoted are in U.S. Dollars for U.S. Accounts and in Canadian Dollars for Canadian Accounts.

5. Billing

RetailBuyers.com will appear on your credit card for all charges made. If multiple venues are joined utilizing any payment method, your statement will list each individual purchase comprising the transaction.

6. Automatic Recurring Billing

Account fees are automatically renewed at the end of the original term selected, for a similar period of time, unless notice is received from the subscriber thirty (30) days before renewal. Unless and until this agreement is canceled in accordance with the terms hereof, subscriber hereby authorizes RetailBuyers to charge subscriber's chosen payment method to pay for the ongoing cost of membership. Subscriber hereby further authorizes RetailBuyers to charge subscriber's chosen payment method for any and all additional purchases of services.

7. Electronic Receipt

Account holders will receive an email receipt to their email provided upon initial photo order.

8. Cancellation

At any time, and without cause, subscription to the service may be terminated by RetailBuyers, upon notification of the other by electronic or conventional mail, or by telephone or fax. When the account holder requests the termination, account fees are NOT refunded. Account holders are liable for charges incurred by them until termination of service.

9. Refunds

When the member requests the termination, account fees are NOT refundable. Should a refund be issued by RetailBuyers, all refunds will be credited solely to the payment method used in the original transaction. RetailBuyers will not issue refunds by cash, check, or to another credit card or payment mechanism.

10. Authorization of Use

Account Holders to the site are hereby authorized a single access to the service located at this website. This access shall be granted for sole use to one subscriber. No material within the site may be transferred to any other person or entity. RetailBuyers reserves the right to terminate accounts at any time if the terms of this agreement are breached.

12. Authorization of Use

Suppliers are responsible for shipping of merchandise and collection of payments.

All item numbers will be preceded by RB to indicate that the item has been purchased through Retailbuyers.

Suppliers must include with all submitted photos:

- Item Number
- Description
- Approximate Size
- Wholesale Price
- Clearance Price
- Quantity

13. Severability

If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid or enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

14. Notice

15. Use of Information

Retailbuyers.com reseves the right to use all information and collected within the site towards advertising purposes.
